Our Governance
We are committed to upholding good corporate and clinical governance.
Governance is exercised throughout the organisation by governing groups including the Members, Board of Directors, the Executive Leadership Team (ELT), and wWorkforce.
The Board sets a culture of good governance through leadership within the organisation. The Board has overarching accountability and responsibility for governance. The Board is supported by 3 standing committees consistent with best practice standards in governance.
Board Sub-committees

- Audit and Risk Committee
- Finance and Performance Committee
- Nominations and Governance Committee
Ad hoc sub-committees can be established as and when needed.
Audit and Risk Committee
This Committee supports the Board by overseeing risk management and complements the work of the other Board committees. It assists the Board in its oversight and governance of specific areas including compliance, technology, project management and internal audit and quality governance for Healthy North Coast.

This Committee assists the Board in the areas of financial reporting, internal control structures, external audit functions, and the financial risk aspects of risk management systems of HNC. The Committee’s long-term goal is to improve the effectiveness of external audit functions, the quality of external financial reporting and to help improve financial management and internal control systems.
Finance and Performance Committee Terms of ReferenceNominations and Governance Committee
This Committee assists the Board in overseeing the organisation’s governance practices, policies and procedures for effective Board functioning. It is required to provide advice and recommendations to the Board and/or the Members specifically in relation to Board composition.

Additionally, to support the Board to meet its objectives, it has established 2 advisory bodies to provide advice on locally relevant issues. These councils increase engagement, communication, and collaboration with the communities that Healthy North Coast serves.
Clinical Advisory Council
The Clinical Advisory Council gives strategic advice on health policies. It provides an objective and collaborative clinician voice in creating a person-centered health system that is integrated, high quality, and easy for the community to access.

The Community Advisory Council ensures that consumers, community members and people with lived experience are able to provide input and advice to Healthy North Coast’s Board. By engaging these groups of people, it ensures that health care is designed with, not just for, the people who rely on it, leading to more effected and person-centred services.
Community Advisory Council Terms of ReferenceMembers Organisations
In order to be eligible for membership, organisations must be able to satisfy the following essential criteria:
- A Member must be an organisation; and
- A Member must have a significant, active and demonstrable interest in the health and well-being of the region; and
- A Member’s objects and activities must (in the Members’ opinion) be consistent with, and make a substantial contribution towards, the objectives of Healthy North Coast
Each membership application will be assessed to ensure that the applicant meets these criteria. Membership is only confirmed by a vote of the existing member organisations.
